TipCode Platform License & Terms of Use

By creating an account or using the TipCode platform (“Platform”), you (“Customer”, “you”) agree to be bound by this License and Terms of Use (“Agreement”) with TipCode Inc. (“TipCode”, “we”, “us”).
If you do not agree to these terms, you may not access or use the Platform.
1. Nature of the Service
TipCode is a technology platform that enables businesses to accept and distribute customer tips via QR codes and digital payment processing using Stripe.
TipCode does not act as a bank, payment processor, escrow agent, or trustee. All funds are processed, held, and disbursed by Stripe or financial institutions designated by the Customer.
2. Customer Responsibility for Taxes and Reporting
You acknowledge and agree that:
- You are solely responsible for all tax obligations.
- Financial reporting, payroll, employee compensation.
- Regulatory filings, accounting, and legal compliance.
TipCode does not calculate, withhold, remit, or report any taxes.
3. Prohibited Use
You may not use TipCode for unlawful or prohibited activity, including:
- Money laundering
- Terrorist financing
- Human trafficking
- Sanctions evasion
- Fraud
- Tax evasion
- Criminal organizations
- Any activity prohibited by law
TipCode reserves the right to suspend or terminate any account suspected of illegal or abusive activity without prior notice.
4. Payment Processing & Fees
All payments are processed through Stripe.
Every transaction is subject to Stripe fees and TipCode commission.
The full amount paid by a customer will never be transferred to your business. TipCode commission and Stripe fees are deducted automatically.
5. Distribution of Tips
TipCode records and reports tip allocation data, but does not distribute tips to individual employees or enforce allocations.
6. Data Security & Payment Information
All payment data is stored and processed by Stripe in accordance with Stripe’s compliance standards (including PCI-DSS).
TipCode does not store credit card numbers, bank details, or sensitive payment credentials.
In the event of a security breach within Stripe or third-party systems, TipCode is not liable for resulting loss or damages.
7.1 Platform Availability
The platform may be unavailable due to maintenance, upgrades, outages, or third-party interruptions. TipCode does not guarantee uptime.
7.2 Network Connectivity
Tipcode's services rely on stable internet connectivity to function properly. While we strive to maintain continuous and reliable service availability, interruptions or temporary service disruptions may occur due to internet connectivity issues or factors beyond our control. We appreciate your understanding and will make reasonable efforts to restore normal service as quickly as possible.
8. Support Response Time
TipCode provides technical support on a best-effort basis. Initial response time may take up to 72 hours.
9. User Credentials and Contact Information
You are responsible for the accuracy of your contact information and protecting login credentials. TipCode is not responsible for account compromise caused by lost phones, compromised emails, SIM swapping, or user negligence.
10. Data Consent
By using TipCode, you grant permission to collect, store, and process data required to operate the Platform, including account data, usage data, and transaction metadata.
Data will not be sold and may be processed by Stripe, AWS, or other infrastructure providers strictly to operate the service.
11. Limitation of Liability
TipCode is not liable for lost profits, lost tips, business interruption, tax penalties, regulatory fines, or indirect damages. Total liability shall not exceed fees paid to TipCode in the previous three (3) months.
12. Termination
TipCode may suspend or terminate your account at any time for violation of this Agreement, legal risk, or platform abuse. You may stop using the Platform at any time.
13. Governing Law
This Agreement is governed by the laws of Canada.
14. Acceptance
By registering or using TipCode, you confirm that you have read, understood, and agreed to these terms.
